What You Will Be Doing
ChargePoint is seeking an experienced and self-motivated Corporate/Commercial Paralegal and Legal Operations professional to join its Legal team. In this role, you will support ChargePoint with maintaining corporate subsidiary compliance matters, facilitating corporate record keeping, assisting with corporate filings, managing commercial contract assignments, legal operations, and much more.
In addition to the Legal team, you will collaborate with cross-functional teams, including Finance & Accounting, Stock Administration, Sales, Marketing, Operations, Engineering, Information Security, and Product. This is the right role for you if you are solutions-oriented, collaborative, and able to think quickly, communicate clearly, and implement streamlined solutions to process challenges.
What You Will Bring to ChargePoint
General Legal Corporate Record Keeping:
- Manage U.S. and foreign entity formation, dissolution, and foreign qualifications
- Obtain EINs (Employer Identification Numbers), especially for non-U.S. based entities
- Maintain all corporate records and minute books
- Partner with internal Finance & Accounting teams and manage external corporate counsel to assist with annual compliance filings for non-U.S. corporate and tax purposes
Securities and Exchange Commission (SEC) Filings:
- Responsible for all Form 3 and Form 4 filings
- Responsible for obtaining and maintaining EDGAR codes for Form 3/4 filers
- Independently lead and provide strategic support in using Workiva to prepare and draft annual proxy statements and related corporate SEC filings, such as Form 8-Ks, 10-Qs, and 10-Ks
Commercial Legal Operations:
- Lead, oversee, and maintain ChargePoint’s contract management systems (Ironclad, OneDrive), including workflow creation, work assignments (Ironclad & Jira), and correspondence with internal Sales and Legal team stakeholders
- Independently manage all contract records to increase organization, efficiency, and record keeping
- Own and manage the processing, finalization, and execution of all standard non-disclosure agreements (NDAs), both inbound and outbound
- Lead cross-functional initiatives, including managing Legal Trainings for the Sales Department
- Proactively establish and maintain internal legal knowledge management database resources to enhance cross-functional collaboration and improve speed-to-execution
Additional Responsibilities:
- Independently oversee and process requests for certificates of insurance with insurance brokers
- Partner closely with internal stakeholders by providing timely support to colleagues at all levels in the U.S., Europe, and India
- Provide strategic support to the General Counsel and Global Legal Team regarding departmental planning, resourcing, and execution
- Define and track Legal Department reports and metrics
- Lead and support ad-hoc and special projects
- Establish, develop, implement, and continually improve Legal Department processes and procedures
Skills
Successful applicants will be proficient in the following applications or software platforms:
- Workiva
- Ironclad
- Microsoft Office Suite (OneDrive, Excel, Word, PowerPoint)
- DocuSign
- Intelligize (or the SEC’s EDGAR site) is a plus.
Requirements
- Bachelor’s degree and 10+ years of professional experience
- Minimum of 3–5 years of corporate transactional experience at a law firm preferred
- Strong initiative, problem-solving skills, and the ability to work independently, prioritize, and manage multiple projects concurrently
- Must be a licensed California Notary in good standing
- Detail-oriented with a strong desire to create structure and scalable processes
- Customer-centric and solutions-oriented approach to supporting both external and internal clients while protecting the best interests of the company
- Experience in a global business environment, supporting team members located in worldwide geographies
- Strong interpersonal, presentation, organizational, and oral/written communication skills
- Ability to maintain strict confidentiality of sensitive information
- Research and analytical skills are a differentiating plus
- Strong work ethic with the ability to work independently
