About the Role
Title: General Counsel
Reports to: Chief Executive Officer
Location: Remote (Austin, TX or Atlanta, GA)
CharterUP is hiring its first in-house General Counsel to serve as a strategic legal and business partner to the CEO and executive team. This role will own the company’s legal strategy across commercial contracting, employment matters, litigation, and risk management, supporting fast, disciplined growth in a highly competitive, fragmented industry. This is a hands-on role for a commercially minded legal leader who believes strong agreements, sound judgment, and clear decision-making are essential to building and scaling a durable business.
What You’ll Own
Commercial Contracts & Deal Enablement
- Lead all commercial contract strategy and execution, including customer agreements, operator agreements, vendor contracts, MSAs, and strategic partnerships
- Enable deal velocity while protecting CharterUP’s IP, data, pricing power, and market position
- Standardize and evolve contract templates while retaining flexibility for complex or high-value deals
- Support CharterUP’s two-sided marketplace at scale (customers ↔ operators)
Employment Agreements & Competitive Protection
- Own the drafting, management, and ongoing evolution of employee agreements, including PIIAs, confidentiality, non-solicitation, and other restrictive covenants, as appropriate by jurisdiction
- Advise leadership on employment-related legal matters tied to employee transitions, competitive risk, and protection of confidential information
- Partner with People and Talent teams to ensure agreements are enforceable, clearly communicated, and aligned with CharterUP’s growth strategy
- Help establish consistent, defensible approaches to protecting CharterUP’s talent, IP, and business relationships
Litigation, Arbitration & Dispute Management
- Own and manage litigation and arbitration matters, including employee, vendor, and operator disputes
- Partner with outside counsel thoughtfully and cost-effectively
- Advise leadership on risk, resolution strategies, and when to assert CharterUP’s contractual and legal rights
Legal Strategy & Risk Management
- Partner closely with the CEO and executive team to define and operationalize CharterUP’s legal strategy
- Provide clear, practical guidance on risk, tradeoffs, and recommended paths forward
- Balance speed and rigor in a fast-moving environment
Who You Are
Experience
- 8–15+ years of legal experience, including meaningful in-house experience
- Deep expertise in commercial contracts and business-side legal advising
- Hands-on experience managing litigation and arbitration
- Experience in marketplaces, logistics, transportation, SaaS, or regulated industries is a plus
