About the Job
We are seeking a Legal Counsel - Commercial to join our Legal team and drive the commercial legal strategy that enables our rapid customer expansion. Reporting to the Head of Legal, you will be the primary legal partner to our Sales and Customer Success teams, structuring and negotiating complex enterprise agreements as we deploy autonomous robotics solutions with customers worldwide. You will negotiate first-of-their-kind agreements for autonomous robotics deployments, navigate novel liability and risk allocation issues, and help shape industry-standard contract frameworks that don't yet exist.
What You’ll Get To Do:
Commercial Contract NegotiationsLead end-to-end negotiation of enterprise customer agreements, including pilot programs, deployment contracts, SaaS licenses, and multi-year service agreementsStructure complex deals involving hardware, software, and AI services across construction, energy, manufacturing, and urban operations sectorsPartner with Sales leadership to close strategic deals while protecting company interests and managing riskContract Management & Optimization
Draft, review, and negotiate master service agreements, statements of work, purchase orders, and related commercial documentationCreate and maintain contract templates and playbooks that enable the sales team to move quicklyBuild scalable processes for contract review and approval workflowsManage contract lifecycle from negotiation through execution, renewal, and amendmentRisk Management & Liability
Assess and mitigate commercial risks related to autonomous robotics deployments in safety-critical environmentsNegotiate liability caps, indemnification provisions, insurance requirements, and limitation of liability clausesDevelop frameworks for managing product liability, service level agreements, and performance guaranteesWork with insurance brokers and risk management teams to ensure appropriate coverageCustomer-Facing Legal Advisory
Serve as trusted legal advisor to customer-facing teams on deal structure, terms, and risk trade-offsProvide pragmatic, business-oriented legal guidance that accelerates sales cyclesSupport customer security reviews, vendor due diligence, and compliance questionnairesInterface directly with customer legal teams and outside counsel on complex negotiationsCross-Functional Collaboration
Partner with Sales, Engineering and Product, Customer Success and Operations on commercial terms that reflect technical capabilities and operational realitiesCollaborate with Finance on revenue recognition, payment terms, and billing structuresWork with Privacy and Compliance teams on data protection provisions in customer contractsCoordinate with IP counsel on technology licensing and protection in commercial agreementsProcess & Template Development
Build and refine standard contract templates for different customer segments and deployment modelsDevelop training materials and guidance for Sales team on contract terms and legal requirementsCreate negotiation playbooks with pre-approved fallback positions and escalation criteriaEstablish metrics and reporting to track contract terms, risk exposure, and negotiation outcomes
What You Have
Ability to be onsite; hybrid may be an option (1-3 days onsite minimum)8+ years of relevant legal experience, with substantial focus on commercial contracts and technology transactionsIn-house experience at a high-growth technology company (Series B or later) supporting enterprise sales teamsExpertise drafting and negotiating complex B2B enterprise agreements, preferably in SaaS, hardware, or technology servicesExposure to government contracts or federal procurementFamiliarity with international commercial law and cross-border transactionsProven ability to balance legal risk with business objectives and close deals efficientlyExcellent negotiation skills with ability to advocate effectively while maintaining positive relationshipsJuris Doctor (JD) from top-tier law school
