The Role
Omilia is seeking a Legal Counsel with strong exposure to US-style commercial contracting to support its growing legal and commercial operations. This role will serve as a first-line legal gatekeeper, handling high-volume, lower-complexity legal work and ensuring consistency, efficiency, and discipline across Omilia’s contract workflows. This is a hands-on role ideal for a detail-oriented legal professional who enjoys process, structure, and collaboration, and who understands when to escalate issues to senior legal resources.

Key Responsibilities
- Manage routine legal requests, including:
- Mutual and unilateral NDAs
- Template-based customer and vendor agreements
- Signature packets and execution logistics
- Maintain Omilia’s contract library and document repository, including:
- Version control and filing
- Template administration and updates
- Tracking executed agreements and amendments
- Perform first-pass reviews of templated agreements to confirm alignment with approved playbooks and escalation criteria.
- Integrate redlines and perform document clean-up following attorney review.
- Support legal intake, workflow tracking, and prioritization of requests from commercial and operational teams.
- Act as a liaison between business teams (sales, product, operations) and legal, ensuring requests are properly scoped before escalation.
- Assist with diligence preparation and document coordination in connection with financings, IPO readiness, or acquisition processes.
- Support administration of privacy, data protection, and security documentation (e.g., DPAs, security exhibits), under attorney supervision.
Requirements
Qualifications
- Legal education, paralegal certification, or equivalent professional experience.
- US legal education or meaningful exposure to US commercial contracting strongly preferred (e.g., US JD coursework, LLM, prior work with US law firms or US-based companies).
- Prior experience in a law firm, in-house legal department, or legal operations role.
- Strong organizational skills and attention to detail.
- Comfort working with contract templates, standardized workflows, and document management systems.
- Sound judgment in identifying when issues require escalation versus routine handling.
- Excellent written English; additional languages are a plus.
- Experience with contract lifecycle management (CLM) tools or document repositories is a plus.
What This Role Is Not
- This role does not require an active US law license.
- This role is not expected to negotiate complex commercial terms independently.
- Substantive legal analysis and negotiation will remain with Omilia’s barred legal counsel.
