Role Purpose and Summary
Provide support to NBD transaction teams through various stages of a transaction lifecycle from pre-qualification to proposal submission and financial closure; conduct financial/ techno-commercial and market analysis activities to help decision-making.
The role is responsible for supporting the diligence (technical, commercial), structuring, financing, and execution of large-scale infrastructure and PPP projects in the Kingdom of Saudi Arabia.
Experience
1-3 years of relevant professional experience in investment banking, private equity, project/ corporate finance, M&A, infrasture projects development/ consulting/ advisory
Experience with Power / Infrastructure developer is highly preferable
Experience in KSA or Middle East is preferred
Qualifications
Bachelor's degree / High school diploma in Finance, Economics, Business Administration, Engineering (B.tech or any similar technical qualification equivalent) or related field.
CFA or equivalent certification is a plus.
MBA in Finance is preferable.
Key Responsibilities: Role Specific Technical Responsibilities
Transaction lifecycle support
Support the NBD senior team members in the origination phase, including the development and preparation/ analysis of market trends, support presentations for internal and external use, preparation and submission of Expressions of Interest, market sounding exercises and preparation and submission of Statements of Qualification
Research and analyze potential partners at different levels of a PPP transaction i.e.: co-investors; EPC contractors; FM/OM partners, assessing technical capabilities, fitness for purpose & financials
Play a support function in the transaction team through the various stages of project management including bid preparation and submission, negotiations, project award, commercial close and financial close and any subsequent operational activities
Support collaboration efforts with various specialized teams engaged in the bid process, including those responsible for the technical, insurance, financial, legal, and maintenance workstreams, to submit and close transaction deals
Contribute towards the closing of various due diligence processes involved in PPP deal transactions and sell/buy-side M&A transactions with the different stakeholders i.e.: internal and external
Initiate the preparation of high-quality pitches, presentations, documents (e.g.: non-disclosure agreements; project documents; sponsors’ related documents; debt and equity funding related documents, contractual heads of terms, information memorandums etc.) and support preparation of internal committees materials and board presentations.
Support collaboration efforts with the Project Companies on behalf of the Sponsors in any task related to the project (e.g.: modification of financial facilities, contract amendments, etc.) including coordination with the relevant stakeholders
Manage the datarooms with various advisors and partners; support the team in bid management (including external stakeholder management; bid expenses tracking; coordinating with advisors, internal teams etc.)
Financial analysis
Conduct in-depth financial analysis and research of potential investment opportunities, including financial modelling, valuation, and risk assessment
Support coordination with financial advisor towards building PPP concession-based financial models from scratch for new projects and bids, including running the model for internal purposes
Build, update and prepare internal models (shadow financial models and cost models) towards building PPP concession-based models from scratch for new projects and bids, including running the model for internal purposes
Support and coordinate the financial assessment of opportunities including returns, asset value, sensitivities, scenarios, deliverability and efficiency of tax, accounting and economic assumptions
Update and maintain the financial models of the portfolio companies to support project-specific corporate initiatives and contractual modifications, assess investment feasibility and apply lessons learned from previous transactions by different deal teams
Technical/ Techno-Commercial Analysis
Support the NDB Technical Team in coordinating, interfacing, and conducting technical and commercial discussions with EPC, O&M contractors during bid preparation and project development.
Review RFP/ bid documentation to identify key technical requirements and support the transaction team in tracking, analyzing, and addressing various techno-commercial items.
Assist the transaction team in performing techno-commercial assessments during bid submission and project development, ensuring alignment between technical specifications and commercial assumptions.
Coordinate with external advisors and support the transaction team in their efforts to evaluate and optimize the following costs: EPC, procurement, operations, lifecycle, utilities consumption etc.
Support the transaction team in improving overall project bankability and cost efficiency through structured analysis, benchmarking, and risk evaluation.
Involvement in Project SPV during construction phase
Support the coordination with project SPV team during construction on various aspects (analyzing the cost claim / procurer change requests / progress reports) which requires Vision Invest’s intervention
Update or run scenarios of financial models based on the requirement of SPV team
