Reporting to the Senior Commercial Counsel or Chief Financial Officer, the Commercial Counsel is responsible for supporting Kabam with commercial transactions across various business groups, and provides proactive and practical counsel on a broad range of legal and business issues related to Kabam’s interactive entertainment business.
This role is a full-time, on-site position based 5 days a week at our Downtown Vancouver studio.
In this role, you can expect to:
Key AccountabilitiesReview, draft and negotiate commercial agreements:Review, draft and negotiate a diverse range of commercial agreements, including technology and cloud services, professional services, marketing or advertising services, and other business agreements.Manage corporate and business governance processes:Develop and implement corporate governance best practices, including board communications, and corporate record-keeping Maintain training for internal business partners on key aspects of contract lifecycle management Developing and executing the company's overall legal policy and strategic direction, supporting the company's long term goalsManaging Regulatory Compliance:Develop and manage organizational policies, frameworks and processes to ensure internal compliance with relevant laws, regulations, and business rulesMonitor, interpret, and advise on relevant federal, provincial, state, and local laws and regulations impacting the company's operationsManage and respond to regulatory inquiries, investigations, and examination Support business partners wide variety of legal questions and guidance:Analyze issues, propose and communicate solutions to help business partners to mitigate risks.Facilitate and provide guidance on cross-functional initiatives like SOX-readiness.Management of legal and contractual aspects of all of company’s commercial activitiesAnalyzing risk management for the company by being the legal subject matter expert:Identification and evaluation of potential risks to the company Setting and prioritizing risk tolerance based on company’s business objectives (short, medium, and long term)Educate and advise key business partners on mitigation of company risks Managing Intellectual Property:Management and protection of company’s IP portfolio, supporting company’s long term goalsInternal Control Relating to Financial Reporting Responsibilities:Approve wire transfer and cheque paymentsConsultation of Other Corporate Topics:Merger and acquisition mattersCorporate governance (e.g. drafting board resolutions, maintaining companies) Office space and sublease matters (construction and commercial real estate)Employment/HR matters occasionally
To be successful in this role, your background includes:
A qualified lawyer and member in good standing with a provincial and/or state bar, BC or California preferred, Exceptional integrity and the ability to work on a wide range of legal matters with a wide variety of internal clients.Highly collaborative, intellectually curious, to learn from and grow with the business.Detail-oriented with excellent judgment, to provide business-oriented advice while mitigating risks.Strong prioritization skills with the ability to manage multiple projects with complex and demanding deadlines, and comfortable working without administrative support.Exceptional communications skills, both verbal and written, concisely and professionally with all levels of the organization5+ years of corporate and commercial experience as a generalist effectively supporting business in an in-house role.
