Role Overview

The Head of Legal will provide comprehensive legal support across the company’s operations, with a primary focus on regulatory compliance under the Malta Gaming Authority (MGA) framework. The role involves contract drafting and review, cross-departmental legal support, complaint handling, oversight of key regulatory functions, and acting as a point of contact for the MGA and external stakeholders. The successful candidate will ensure that all business activities meet legal and regulatory obligations while supporting the company’s strategic objectives.


Key Responsibilities

1. Regulatory & Licensing (MGA)

· Serve as a primary liaison with the Malta Gaming Authority (MGA) for all legal regulatory matters.

· Ensure ongoing compliance with MGA laws, regulations, directives, and guidance notes.

· Work with the Head of Compliance to prepare, submit, and follow up on all required reports, notifications, filings, and updates to the MGA.

· Lead or support the submission and maintenance of gaming licence applications, renewals, system audits, and certifications.

· Monitor regulatory developments and proactively advise management on required changes to internal processes or policies.

· Hold the designated Key Function(s) required under MGA regulations (e.g. Legal Affairs where applicable).

2. Contract Drafting, Review & Negotiation

· Draft, review, negotiate, and revise a wide range of commercial agreements including (and not limited to):

o B2B supplier agreements

o Marketing & affiliate contracts

o Software licensing and technology-related agreements

o Data processing agreements (DPAs)

o Payment service provider (PSP) agreements

o Employment-related legal documents (as needed)

· Ensure all contracts reflect commercial objectives while mitigating legal and operational risk.

· Maintain and update the internal contract repository and agreement management processes.

3. Legal Administration & Corporate Governance

· Manage corporate governance matters for group entities including board resolutions, corporate filings, and statutory records.

· Coordinate with external corporate service providers, notaries, and legal advisors when required.

· Ensure the company’s policies, procedures, and internal documentation meet legal, regulatory, and corporate standards.

· Support internal audits, compliance reviews, and due diligence exercises.

· Manage and Support the DPO with data protection and drafting appropriate DPAs/reviewing contracts

4. Complaint Handling & Player Disputes

· Oversee the full lifecycle of player complaints, disputes, and escalations in line with MGA regulations.

· Draft formal responses to player complaints and liaise with relevant internal departments to investigate and resolve issues.

· Act as the company’s representative for Alternative Dispute Resolution (ADR) bodies and the MGA Player Support Unit.

· Maintain documentation and reporting logs of all complaints and dispute outcomes.

5. Regulatory Reporting & Compliance Monitoring

· Conduct routine internal compliance reviews to ensure adherence to MGA requirements and company policies.

· Support or prepare regular compliance reporting, including incident notifications, key event reporting, and operational compliance assessments.

· Monitor KYC/AML obligations in coordination with the MLRO and compliance department, ensuring alignment with applicable laws.

6. Risk Management & Legal Advisory

· Provide day-to-day legal advice to management and business units on matters including gaming law, consumer protection, data protection, technology, marketing compliance, and corporate issues.

· Identify legal risks and recommend proactive solutions to mitigate exposure.

· Draft internal legal opinions, guidance notes, and briefing documents.

· Review of legal jurisdiction requirements and prepare guidance

· Ensure accurate record keeping of contracts, commercial agreements and key legal decisions.

7. External Representation

· Represent the company in interactions with regulators, external counsel, counterparties, and partners.

· Assist in coordinating litigation strategies and managing external lawyers where formal disputes arise.

· Attend regulatory meetings, compliance audits, and industry consultations as required.


Qualifications & Experience

· Law degree and warrant to practice (or eligibility to obtain warrant) in an EU jurisdiction, ideally Malta.

· 3–6 years of post-qualification legal experience, preferably within the iGaming industry.

· Strong understanding of MGA regulations, gaming frameworks, and regulatory expectations.

· Experience with commercial contracts, corporate governance, and regulatory compliance.

· Excellent written and verbal communication skills in English.

· Ability to work independently, handle multiple priorities, and collaborate across teams.
