OpenLoop is looking for a Senior Director, SEC Reporting / Technical Accounting, to lead the company’s external reporting function in preparation for becoming a public company. This role serves as the primary owner of financial reporting readiness, disclosure integrity, and regulatory compliance. This critical leader will drive SEC reporting preparedness, support IPO execution, establish SOX-compliant controls, and act as the technical accounting authority across complex transactions and emerging accounting issues.
The ideal candidate will be a hands-on leader within a lean team,demonstrating strong ability to partner closely with Legal, FP&A, Tax, IT, and external auditors to build scalable reporting processes and governance frameworks. The scope of the role is expected to expand as the company progresses toward and beyond an IPO.
Lead all aspects of SEC reporting readiness, including preparation of Forms S-1, 10-K, 10-Q, 8-K, and related disclosures.
Drive IPO execution support, including coordination with auditors, legal counsel, and underwriters.
Establish and maintain disclosure controls and procedures to ensure accuracy, completeness, and timeliness of filings.
Develop scalable reporting processes aligned with public company standards.
Serve as the company’s subject matter expert in the U.S. GAAP and SEC regulations.
Evaluate and document accounting positions for complex and non-routine transactions (e.g., equity, revenue, stock-based compensation, business combinations).
Draft and maintain technical accounting memos and white papers.
Monitor emerging accounting standards and assess business impact.
Design, implement, and maintain SOX-compliant internal controls over financial reporting (ICFR).
Partner with Internal Audit and external auditors to ensure effective control testing and remediation.
Build and enhance governance frameworks to support public company compliance requirements.
Partner with FP&A, Tax, Legal, and IT to ensure alignment on financial disclosures and data integrity.
Support board and audit committee reporting requirements.
Lead and develop a high-performing external reporting function as the organization scales.
Bachelor’s degree in Accounting or Finance; CPA required.
12+ years of progressive accounting experience, including Big Four public accounting and public company reporting experience.
Proven experience leading SEC reporting and IPO readiness initiatives.
Deep technical expertise in U.S. GAAP, SEC regulations, and SOX compliance.
Demonstrated experience with complex transactions and technical accounting research.
Strong project management skills with the ability to manage multiple deadlines in a fast-paced environment.
Hands-on leadership style with the ability to build processes in a lean environment.
Excellent written and verbal communication skills, with experience interfacing with executive leadership, auditors, and audit committees.
